1. Introduction

These Terms of Service ("Terms") govern your access to and use of Vorafy, a brand-site builder platform operated by Vorafy Limited ("Vorafy", "we", "us", or "our"), a company incorporated in New Zealand. By creating an account, accessing the platform, or using any of our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the platform. These Terms apply to all users of the Vorafy platform, including tenants (brand owners) and visitors to brand sites built on Vorafy.

2. Eligibility

You must be at least 18 years of age to create an account and use Vorafy. By using the platform, you represent and warrant that: (a) you are at least 18 years old; (b) you have the legal capacity to enter into a binding contract; (c) you are not barred from receiving services under applicable law; and (d) the information you provide during registration is accurate and current. If you are registering on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

To access most features of Vorafy you must register for an account. You agree to:

3.1 Provide accurate, current, and complete information during registration.
3.2 Keep your account credentials confidential and not share them with others.
3.3 Notify us immediately at support@vorafy.com if you suspect unauthorised access to your account.
3.4 Accept responsibility for all activities that occur under your account.

4. Description of Service

Vorafy is a software-as-a-service (SaaS) platform that enables users ("tenants") to build, customise, and publish brand websites using our drag-and-drop builder, templates, and integrated tools. Feature availability depends on your subscription plan. We reserve the right to modify, add, or remove features at any time, with reasonable notice where such changes materially affect paid functionality.

4.1 Brand site creation and publishing under a Vorafy subdomain or custom domain.
4.2 Page and section builder tools.
4.3 Media management.
4.4 SEO tools, including optional Google Search Console integration.
4.5 Email campaign tools.
4.6 Subscription and billing management via Stripe.

5. Subscriptions, Fees, and Payment

Certain features of Vorafy are available only through paid subscription plans. By selecting a paid plan, you authorise Vorafy to charge the applicable fees to your nominated payment method via our payment processor, Stripe. Fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). All fees are stated in New Zealand Dollars (NZD) unless otherwise specified and are inclusive of GST where applicable. You may upgrade, downgrade, or cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; no refunds are provided for partial periods unless required by applicable law, including the Consumer Guarantees Act 1993. Vorafy reserves the right to change subscription pricing with at least 30 days written notice. Continued use of the platform after a price change constitutes acceptance of the new pricing.

6. Acceptable Use

You agree to use Vorafy only for lawful purposes and in accordance with these Terms. You must not:

6.1 Upload, post, or transmit content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
6.2 Infringe the intellectual property rights of any third party.
6.3 Use the platform to send unsolicited commercial messages (spam).
6.4 Attempt to gain unauthorised access to any part of the platform or its related systems.
6.5 Use automated tools to access the platform in a manner that burdens our infrastructure.
6.6 Resell or sublicense access to the platform without our express written consent.
6.7 Use the platform to build a competing product.

7. User Content

You retain ownership of all content you upload, create, or publish through Vorafy ("User Content"). By submitting User Content to the platform, you grant Vorafy a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display your User Content solely for the purpose of providing and improving the service. Vorafy does not claim ownership of your User Content and will not sell it to third parties. Upon account termination, your User Content will be deleted in accordance with our data retention policy.

8. Intellectual Property

The Vorafy platform, including its software, design, templates, trademarks, and documentation, is owned by Vorafy Limited and protected by New Zealand and international intellectual property laws. Subject to your compliance with these Terms, Vorafy grants you a limited, non-exclusive, non-transferable licence to access and use the platform for your own business purposes. You must not copy, modify, distribute, sell, or create derivative works from any part of the Vorafy platform without our prior written consent.

9. Google API Services and Search Console Integration

Vorafy offers an optional integration with Google Search Console via the Google Search Console API. This integration is subject to the Google API Services User Data Policy, including the Limited Use requirements. By connecting your Google Search Console account, you authorise Vorafy to access your Search Console data (search performance metrics, queries, and page impressions) using the read-only scope https://www.googleapis.com/auth/webmasters.readonly, and to store and display this data within your Vorafy account for SEO analysis purposes. Vorafy's use of Google Search Console data is strictly limited to providing the SEO Insights feature within the platform. We do not share your Google data with third parties, use it for advertising, or allow humans to read it except as necessary to provide or improve the integration, or as required by law. You may disconnect your Google Search Console integration at any time from your account settings. Upon disconnection, Vorafy will delete your stored Google API tokens. 10. Third-Party Services

Vorafy integrates with third-party services to deliver the platform. Your use of these services is subject to their respective terms and privacy policies. Vorafy is not responsible for the practices or content of third-party providers.

10.1 Stripe — payment processing.
10.2 DigitalOcean Spaces — file and media storage.
10.3 Resend — transactional email delivery.
10.4 Google — Search Console API integration (optional).

11. Service Availability

Vorafy aims to provide a reliable and high-availability platform, but does not guarantee uninterrupted or error-free access. We may perform scheduled or emergency maintenance that temporarily affects availability. Vorafy is not liable for losses arising from downtime, service interruptions, or data loss caused by events beyond our reasonable control, including infrastructure failures, third-party outages, or force majeure events.

12. Privacy

Your use of Vorafy is subject to our Privacy Policy, available at https://vorafy.com/legal/privacy-policy. The Privacy Policy explains how we collect, use, store, and protect your personal information in accordance with the New Zealand Privacy Act 2020. By using Vorafy, you acknowledge that you have read and agree to our Privacy Policy.

13. Disclaimers and Limitation of Liability

The Vorafy platform is provided "as is" and "as available". To the maximum extent permitted by law, Vorafy disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by the Consumer Guarantees Act 1993 and other applicable New Zealand law, Vorafy's total liability to you for any claims arising from these Terms or your use of the platform is limited to the amount you paid to Vorafy in the 12 months preceding the event giving rise to the claim. Vorafy is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under New Zealand law.

14. Termination

You may close your account at any time through your account settings or by contacting us at support@vorafy.com. Vorafy may suspend or terminate your account immediately if you breach these Terms, your subscription payment fails and is not resolved within a reasonable grace period, we are required to do so by law, or we reasonably believe continued access poses a risk to the platform or other users. Upon termination, your right to access the platform ceases and your User Content will be deleted in accordance with our data retention policy. Any outstanding fees remain payable.

15. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes arising from or related to these Terms or your use of Vorafy shall be subject to the exclusive jurisdiction of the New Zealand courts. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Changes to These Terms

Vorafy may update these Terms from time to time. We will notify you of material changes by email or through an in-platform notification at least 14 days before the changes take effect. Your continued use of the platform after the effective date of updated Terms constitutes acceptance of the new Terms.
